Terms of Service

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, and able to form a binding contract to use the Service.

2. Accounts

You are responsible for the accuracy of the information you provide and for keeping your login credentials secure. You are responsible for all activity that occurs under your account. Notify us promptly of any unauthorized use.

3. Subscriptions, billing, and refunds

• The Service offers a Free tier and paid Creator and Pro subscriptions. Paid plans are billed monthly in advance through Stripe and renew automatically until cancelled.
• You can cancel any time from the Stripe Customer Portal; access continues until the end of the current billing period.
• Refunds are available within 7 days of your first paid charge; after that, charges may be prorated at our discretion on request.
• We may change prices or plan features with reasonable advance notice. Changes apply to the next billing cycle.

4. Your content and license

You retain ownership of the audio you upload and of the video outputs you generate. You grant us a limited, non-exclusive license to process, store, and transmit your content solely to operate and provide the Service to you.

Exports are watermark-free on all tiers. Eligible paid plans include a commercial-use license for your generated outputs, subject to these Terms.

5. Acceptable use

When using the Service, you agree that you will not:

• Upload audio or other content you do not have the rights to use, or that infringes any third party's intellectual property or other rights.
• Upload unlawful, harmful, or infringing content, or use the Service for any unlawful purpose.
• Attempt to circumvent plan limits, usage caps, watermarking, or access controls.
• Reverse engineer, decompile, scrape, or attempt to extract the source code or models behind the Service, except to the extent this restriction is prohibited by law.
• Interfere with, overload, or disrupt the Service or its infrastructure.

You represent and warrant that you own or have obtained all rights, licenses, and permissions necessary for any audio you upload.

6. Intellectual property

The Service, including its software, visual engine, design, and SynthWave Studio branding, is owned by Sonnier Ventures and protected by intellectual property laws. These Terms do not grant you any rights in the Service other than the limited right to use it as described.

7. AI-generated output

Visual direction and related outputs are generated algorithmically, in part using third-party AI. Outputs are provided 'as is', may not be unique, and may vary in quality. You are responsible for reviewing outputs and for how you use them, including ensuring your use complies with applicable law and third-party rights.

8. Service availability and changes

The Service is offered on an ongoing but evolving basis. We may add, modify, or discontinue features, and we may impose or adjust usage limits, at any time. We aim to provide reasonable notice of material changes.

9. Disclaimer of warranties

The Service is provided 'as is' and 'as available', without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

10. Limitation of liability

To the maximum extent permitted by law, Sonnier Ventures will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months before the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Sonnier Ventures from any claims, damages, or expenses arising out of your content, your use of the Service, or your breach of these Terms.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms or use the Service in a way that risks harm to us, other users, or third parties. Sections that by their nature should survive termination will survive.

13. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the 'Last updated' date above and, for material changes, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws of the State of Texas, USA, without regard to its conflict-of-laws rules.
